Program Overview

Thank you for spreading the word about teaching with VIPKid! The VIPKid Referral Program (“Referral Program”) gives you the opportunity to refer your family and friends to teach with VIPKid. These Referral Program Guidelines (“Rules”) go into effect immediately (unless otherwise noted). The Rules will apply to all participants and replace prior referral programs. Please read carefully to understand the eligibility requirements and rules.

Referring Teacher Eligibility

To participate in this Referral Program, you must be a current teacher and have an independent contractor agreement with VIPKid.

If you violate the Rules, your VIPKid independent contractor agreement, other agreements with VIPKid (if any), and/or any applicable terms of service displayed on the Teacher Portal, VIPKid may limit, suspend, or terminate your participation in this Referral Program. Affiliates/Partners are subject to the rules under VIPKid’s Affiliate Program.

How to Refer New Teachers

You will receive a referral code and link upon becoming a teacher on the platform. You will only receive one referral code and link. Use of multiple referral codes and links may result in your removal from this Referral Program.

Referrals must enter your referral code or use your link before completing the demo stage. VIPKid cannot add and/or change the referral code or link used after that point.

VIPKid reserves the right to limit the use of your referral code and link, and/or establish additional rules around how, when, and where such referral code or link may be shared.

How to Earn Referral Incentives

To earn your referral incentive, your referral must: (1) not have previously signed up to be a teacher or taught on the VIPKid platform; (2) meet all the conditions VIPKid has for signing up to be a teacher; (3) use your referral code or link before completing the demo stage; and (4) take any other actions required by VIPKid to become a teacher. VIPKid reserves the right to deny your referral access to the VIPKid platform in its sole discretion.

Referrals can only be referred once, so if someone else has referred them and they have accepted that invitation, they will not be able to accept yours.

General Rules

1. By accepting, sharing, or using a referral code or link, you are agreeing to be bound by these Rules, as well as all applicable laws and regulations.

2. Referring Teachers may not contact VIPKid for status updates regarding their referrals and/or request the personal information of their referrals. The requirements for receiving, and the amounts of, referral incentives are subject to change at VIPKid’s sole discretion without notice.

3. You are responsible for verifying that this Referral Program is still in effect at the time you share or use a referral code or link.

4. VIPKid reserves the right to change, end, or pause, in whole or in part, this Referral Program or any referral program, as well as any Referring Teacher or referral’s ability to participate in or to receive referral incentives at any time for any reason. VIPKid also reserves the right to interpret these Rules in its sole discretion.

5. VIPKid may, in its sole discretion, update, or modify these Rules at any time without prior notice. All updates will be posted in the teacher portal and shall apply immediately to all referrals who use a referral link or code as of the day that the updates are posted. Continued participation in this Referral Program after any update means that you have consented to the update.

6. Violation of these Rules may result in: (1) you not being eligible to participate in this Referral Program and/or future referral programs; (2) forfeiture of any referral incentives earned through this Referral Program; (3) deactivation of your referral code and link; and/or (4) any other action permitted by law.

7. Participation in this Referral Program is prohibited where void by applicable law or regulation.

8. Any policies or rules related to this Referral Program are not intended to form a contract.

Referral Incentives

1. You are eligible to earn an incentive of $100 USD per referral who teaches the first class provided that you are a teacher on the platform and have a current independent contractor agreement with VIPKid at the time that the referral incentive is set to be paid. The referral incentives paid will be based upon this Referral Program and the Rules in effect at the time that the referral teaches the first class.

2. The current referral incentive structure goes into effect on February 1, 2020.

3. The $100 referral incentive is deemed earned after the referral teaches the first class, provided that the class is marked with a finish type of “As scheduled”. If the Referring Teacher is no longer a teacher with a current independent contractor agreement at the time the referral incentives are earned, the Referring Teacher is not entitled to the referral incentives.

4. The $100 referral incentive will be paid according to your teaching payment cycle.

5. If Referring Teacher’s contract either expires or is terminated, then the teacher will be paid according to the bullet point above for any referral incentives earned as of the date that the contract expires or is terminated. They will not be paid for any referral incentives earned after the contract expires or is terminated even if the referral is in the application process at that time.

6. If you believe that there is a discrepancy regarding your referral incentives, please contact Support. VIPKid may require you to submit additional information in order to make a determination regarding your balance. All decisions regarding your balance will be final and at VIPKid’s sole discretion.

7. We reserve the right to suspend your referral code and link, remove or limit your ability to participate in this Referral Program, or withhold referral incentives, if we suspect any activity is abusive, fraudulent, or in violation of the Rules or applicable law, or any fraud, technical failures, or other factor beyond VIPKid's reasonable control impairs the integrity or proper functioning of this Referral Program, as determined by VIPKid in its sole discretion.

Prohibited Use

1. Referral codes and links may not be used for commercial purposes. referral codes and links must be shared with third parties that you know personally, such as your friends and family. You agree to not solicit, spam, or mass email anyone who you do not personally know with your referral code or link.

2. You may not obtain referrals by using any unethical and/or improper means, including, but not limited to, the following:

Duplicating, selling, or transferring your referral code and link in any manner;
Using paid advertisements to distribute your referral code or link to the general public (i.e. Google, Facebook, Instagram, Twitter, Bing, Craigslist, LinkedIn, or job posting websites);
Creating or distributing any job posts, paid or unpaid, on any job posting websites (i.e. LinkedIn, Google, Facebook, Instagram, Twitter, Bing, Craigslist);
Paying or providing anything of value to any potential referrals, or promising to do so;
Purchasing referrals from other Teachers, or requesting that other Teachers use your referral link or code in exchange for some sort of benefits or payment;
Using, displaying, altering, or manipulating VIPKid’s intellectual property (such as VIPKid’s logos, trademarks, mascots, and copyright-protected works), as well as the intellectual property of its parents, subsidiaries, affiliates, and related entities, in any way, except as permitted by the Brandfolder Agreement;
Creating or registering any: (1) businesses; (2) URLs; (3) domain names; (4) software application names or titles that include the word "VIPKid" or any of VIPKid’s other trademarks or any words that are confusingly similar to VIPKid’s trademarks, or contain permutations of VIPKid;
Purchasing keywords (including, but not limited to, Google, Bing, or other search engines or digital channels) that contain any of VIPKid’s trademarks;
Using automated systems or bots through any channel to distribute, post, or otherwise share your referral code or link;
Slandering, defaming, and/or speaking negatively about other Teachers in an effort to persuade referrals to use your referral code or link;
Using scripts or programmed or automatic dialers to send invites or otherwise share your referral code or link;
Making misleading claims about VIPKid, using offensive/abusive content, creating fake websites/webpages/social media profiles/apps, or otherwise making any false or misleading statements to get referrals to use your referral code or link;
Misrepresenting yourself as a representative or employee of VIPKid to third parties, such as at job fairs, on LinkedIn or job websites, or on personally created websites or social media platforms;
Using your referral code or link in any manner that violates the law or the rights of anyone else;
Requesting contact information or personal information from your referrals, and engaging in phishing or attempting to obtain financial or other personal information or solicit passwords or personally identifiable information from your referrals.
Creating fake accounts/false identities and use said accounts/identities, to sign up and use your referral codes and links.

3. VIPKid reserves the right, in its sole discretion, to take action against any person it finds to be tampering with the operation of this Referral Program or to be acting in violation of the Rules. Any attempt by any person to deliberately undermine the legitimate operation of this Referral Program may be a violation of criminal and civil law, and, should such an attempt be made, VIPKid reserves the right to seek damages from any such person to the fullest extent permitted by law.
